1 Interpretation
1.1 QUOTATION: Any “Quotation” by Black Apron Waiter Service CC as requested by a potential client
whereby Black Apron Waiter Service provides the services of Hospitality Staff to an event shall be valid for a period of 30 days from date of quotation.
1.2 EVENT: “Event” means the event to which the Hospitality service relates.
1.3 PRICE: “Price” means the cost of the Hospitality service detailed on Black Apron Waiter Service’s
invoice or as otherwise notified by Black Apron Waiter Service in writing.
1.4 BLACK APRON WAITER SERVICE CC: “Black Apron Waiter Service” is the Service Provider with
Company Registration no: 2003/005455/23
1.5 CLIENT: “Client” means an entity that utilizes the services of Black Apron.

2 Basis of Sale
2.1 Black Apron Waiter Service may issue a Quotation to the Client detailing the Hospitality services on offer or the Client may issue a Request to Black Apron Waiter Service detailing the Hospitality services required.
2.2 The acceptance by Black Apron Waiter Service of a confirmation of requirements for the booking of Hospitality staff by the Client shall supersede any Proposal or Request (neither of which shall have any
contractual force or effect), and the acceptance of such a confirmation shall constitute an offer by Black Apron Waiter Service to provide the Hospitality services to the Client subject to these Conditions.
2.3 All charges are per hour with a minimum of 4 hours, charged in ½ hour intervals.
2.4 Staff transport charges will apply for functions outside of a 30km radius from Johannesburg CBD.
2.5 Staff to guest ratio’s are calculated based on the number of guests at any event as well as the type of any event.

3 Price
3.1 The Price shall be exclusive of value added tax which shall be paid by the Client.

4 Confirmations and Payment
4.1 100% shall be paid by the Client 3 days prior to any event, upon receipt by the Client of Black Apron Waiter Service’s invoice and shall be non-refundable.
4.2 On receipt of an email booking confirmation, a faxed booking confirmation, or the receipt of the payment from the Client the Hospitality services shall deemed to be booked, subject to payment of the Price in full.
4.3 For any additional hours worked a new invoice detailing the amount of the additional Price shall be sent by Black Apron Waiter Service to the Client on the next working day after the event and the Client shall pay the remainder of the Price in full no later than 7 days after the Event (time for payment being of the essence). Timesheets are provided to the Client by Black Apron Waiter Service. It is the responsibility of the Client as well as Black Apron Waiter Service staff members, managers or other contracted parties to ensure that actual hours worked by all Black Apron Waiters Service staff members are captured and presented to the Client for acceptance and sign off. No alternative times will be accepted or disputed thereafter.
4.4 Any additional fees or charges for any additional goods or services provided by or on behalf of Black Apron Waiter Service for the Client at the Event at the Client’s request which are not included in the Hospitality service shall be paid for in full by the Client.
4.5 Automated electronic transfer to be made by Client directly into Black Apron Waiter Service bank account as detailed on the invoice.
4.6In the event that the Client cancels a confirmed booking, all payments received by Black Apron Waiter Service from the Client shall not be refundable to the Client. In the event that the event is postponed, the deposit will be carried over to the next event as a credit to the Client.

5 Risk and Loss/Damage to property
5.1 Risk of damage to or loss of property shall pass to the Client.
5.2 Black Apron Waiter Service staff members, managers or other contracted parties will do their utmost to keep hiring shortages and damages to a minimum. No abovementioned parties will however be responsible for damage or loss of premises, hiring or other function equipment. All charges are for the Clients account.
5.3 Black Apron Waiter Services nor their employees, managers or other contracted parties will not be held responsible for any monetary loss/ shortage unless concrete evidence can be provided in 24hrs after the completion of the event.

6 Limitation of Liability
6.1 Black Apron Waiter Service shall not be liable for damage or loss of goods which have been supplied by the Client to Black Apron Waiter Service and accordingly, the Client indemnifies Black Apron Waiter Service against all and any claims in respect thereof.
6.2 Black Apron Waiter Service shall not be liable for any damage or injury caused by whatsoever nature and howsoever arising and/or suffered by the Client or any person attending the function, and/or any third party, and the Client indemnifies and holds Black Apron Waiter Service harmless against any such damage and/or injury that may be suffered by the Client, any person attending the function and/or any other third party.
6.3 Black Apron Waiter Service accepts no liability for any loss, damage or consequential loss caused by Black Apron Waiter Service’ failure to perform its obligations (whether the failure is due to negligence on the part of Black Apron Waiter Service, its employees, managers or sub contractors or due to any other causes).
Neither Black Apron Waiter Service, its employees, managers or sub-contractors shall in any way, manner or form be liable under any circumstances for any loss or damage of any nature, including loss of profits, loss of business, or for any indirect, special, incidental or consequential damages of any kind in respect of these terms and conditions or otherwise, even in the event that Black Apron Waiter Service has been advised of the possibility of damages.

7 Force Majeure
7.1 Black Apron Waiter Service shall not be liable to the Client or be deemed to be in breach of the booking or these Conditions by reason of any delay in performing, or any failure to perform, any of its obligations in relation to the booking or to these Conditions if the delay or failure is due to any act beyond Black Apron Waiter Services reasonable control, including but not limited to; any Act of God, explosion, flood, tempest, fire or accident; war or threat of war, terrorist activity or threat of terrorism, sabotage, insurrection, civil disturbance or requisition, regulations, bye-laws, prohibitions or measures of any kind on the part of any governmental or local authority, power failures, strikes, lockouts or other industrial actions or trade disputes.

8 Good Faith
8.1 Each party hereby undertakes to exercise utmost good faith in its dealings with the other party in all matters concerning the execution of these terms and conditions.

9 Governing Law
9.1 The validity and interpretation of these terms and conditions will be governed by the laws of the Republic of South Africa.

10 General
10.1In the event of a supplier being contracted by Black Apron Waiter Service on behalf of the client, the client agrees to be bound by all terms and conditions set out by the 3rd party supplier.
